Company Secretary Courses are known to churn out skilled Company Secretaries! Company Secretaries are usually appointed to key managerial or administrative roles. They have opportunities available in both private and public sector firms.

Company Secretary is one of the principal posts in a company. He/she act as a conscience seeker of the company. A certified Company Secretary is hired to handle the legal aspects of a firm.

A Company Secretary is responsible for complete the company’s tax returns, keep records, advise the board of directors and ensure that the company complies with legal and statutory regulations.

If any company (private or public) wants to conduct its operations in India, it must follow certain business laws, regulations and requirements. It is the task of a Company Secretary to ensure compliance with the above-mentioned regulations.

In India, the Institute of Company Secretaries of India (ICSI) is the only recognized professional body in India to develop and regulate the profession of Company Secretaries.

The ICSI provides training and education to lakhs of aspiring Company Secretaries. At present, there are more than 50,000 members and about 4, 00,000 students on the rolls of ICSI.

The Institute of Company Secretaries of India provides training to candidates aspiring to pursue Company Secretary. The institute conducts its Company Secretary programs at the three levels.

On completion of the course, candidates are issued certificates.

Who is a Company Secretary?

In simple terms, a Company Secretary is responsible for the efficient administration of a company. He/she is responsible for ensuring compliance with statutory.

Equally, regulatory requirements and for ensuring that the decisions of the Board of Directors are implemented.

In India, every listed company and certain non-listed & private companies are required to have a qualified Company Secretary appointed (in a managerial or administrative role).

 How to Become a Company Secretary in India

In order to become a CS in India, you must become an Associate Member of ICSI. ICSI stands for the Institute of Company Secretaries of India.

ICSI is the professional body that develops and regulates Company Secretary training, profession, and membership in India.

This body was established by Act of parliament for taking care of the CS profession, training, and membership!

How to Become an Associate Member of ICSI

In order to become an ASC (Associate Company Secretary), you must successfully complete the three stages of the Company Secretary Course – Foundation Programme, Executive Programme, and Professional Programme.

After completing the above-mentioned programs, candidates must also successfully complete 15 months of management training in Companies sponsored by ICSI or under the guidance of a practicing CS.

Candidates who have passed the Executive or Professional Programme can take 15 months of management training up.

After passing Professional Programme examination and completing management training, a candidate may register himself/herself as an Associate Member of ICSI.

Apart from the three programs and 15 months of management training, CS aspirants are also supposed to complete a string of training and grooming programs.

Courses for Company’s Secretary Details

Company Secretary Course consists of three main stages. They are –

1. Foundation Programme

2. Executive Programme

3. Professional Programme

Courses for Company’s Secretary: Eligibility Criteria

1. Foundation Programme: 10+2 pass or equivalent students of Arts, Science or Commerce stream (Excluding Fine Arts)

2. Executive Programme: can be pursued by a Graduate of all streams except Fine Arts.

3. Professional Programme: can be pursued only after clearing the Executive Programme of CS Course

If you are a 12th passed student, you must register for the foundation program. Eventually, you may clear it and register for the executive program. After the qualifying executive stage, you may register for a professional program.

If you hold a relevant Bachelor’s Degree, you may register directly for the Executive programme. After qualifying for the executive stage, you may register for the professional program.

Admission, Registration & Important Dates 2022

Admission to CS courses is open throughout the year. Examinations and held twice a year in June and December. Here are the important admission cut-off dates –

Foundation Programme: 31st March for appearing in December Examination in the same year & 30th September for June Examination next year.

Executive Programme: 28th February for appearing in both modules in December Exams in the same year & 31st May for appearing in a single module in December Examination in the same year

Courses for Company’s Secretary: Syllabus

The foundation program consists of 4 papers. They are –

1. Business Environment and Law

2. Business Management, Ethics, and Entrepreneurship

3. Business Economics

4. Fundamentals of Accounting and Auditing

The executive program consists of 7 papers (divided into 2 modules). Module-1 consists of 4 papers and Module-2 consists of 3 papers. They are –

1. Company Law (Module 1)

2. Cost and Management Accounting (Module 1)

3. Economic and Commercial Laws (Module 1)

4. Tax Laws and Practice (Module 1)

5. Company Accounts and Auditing Practices (Module 2)

6. Capital Markets and Securities Laws (Module 2)

7. Industrial Labour and General Laws (Module 2)

The professional program is divided into 3 modules and also consists of elective subjects (candidate has to choose 1 elective subject out of 5). They are

1. Advanced Company Law and Practice (Module 1)

2. Secretarial Audit, Compliance Management and Due Diligence (Module 1)

3. Corporate Restructuring, Valuation, and Insolvency (Module 1)

4. Information Technology and Systems Audit (Module 2)

5. Financial, Treasury and Forex Management (Module 2)

6. Ethics, Governance, and Sustainability (Module 2)

7. Advanced Tax Laws and Practice (Module 3)

8. Drafting, Appearances, and Pleadings (Module 3)

9. Banking Law and Practice (Elective subject)

10. Capital, Commodity and Money Market (Elective subject)

11. Insurance Law and Practice (Elective subject)

12. Intellectual Property Rights – Law and Practice (Elective subject)

13. International Business-Laws and Practices (Elective subject)

Courses for Company’s Secretary: Fees

Fees charged vary from one stage to another. It also varies depending upon the stream that a candidate is hailing from.

A student is required to complete the Executive and the Professional examination within the registration period.

However, on payment of requisite fees, the validity of the registration may be renewed/extended for a further period subject to fulfilling the applicable guidelines.
